Overview and acceptance<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms of Service govern your use of www.yoloidscards.com (the &ldquo;Site&rdquo;) and your purchase of custom card printing and personalization (the &ldquo;Products&rdquo; and &ldquo;Services&rdquo;) from BANKBEE incorporated (&ldquo;we,&rdquo; &ldquo;us,&rdquo; or &ldquo;the Company&rdquo;). By requesting a quote, approving a proof, or ordering, you accept these Terms and the policies they reference. If you accept for a company, you confirm that you may bind it.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"who-may-use-the-site\">2. Who may use the Site<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Site serves business buyers, not consumers. You must be at least 18 and able to form a binding contract, and you agree to provide accurate order information and to use the Site lawfully.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"quotes-and-pricing\">3. Quotes and pricing<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Orders are quote-based. Quotes are valid for 30 days unless stated otherwise, after which pricing and lead times may change. Prices depend on quantity, material, encoding, finishing, and freight and exclude taxes and duties. A quote is an invitation to order and does not reserve capacity, and we may correct clerical errors.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"orders-and-acceptance\">4. Orders and acceptance<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">An order is formed when you accept a quote in writing and we confirm it by email. The confirmation states the specification, quantity, price, deposit, production dates, and shipping method, and with these Terms it is the whole agreement. Terms in your purchase order or vendor forms do not apply unless we accept them in a signed writing. We may decline an order that breaches our Acceptable Use Policy.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"artwork-and-ip-warranties\">5. Customer-supplied artwork and intellectual property warranties<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You are responsible for all artwork, logos, text, fonts, member data, and encoding data you supply. You warrant that you own these materials or hold every license needed for us to reproduce them, including trademark, copyright, and publicity rights, and that your program and the data you ask us to print are lawful. We may require written proof of authorization before we begin.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"proofs-and-approval\">6. Proofs and approval<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We send a free digital proof before production. It is your final chance to check content, layout, and specification, and approval must be given in writing. Once approved, the proof is the specification for the job. Small variation in color, ink laydown, cutting tolerance, and card thickness is normal. Proofs not approved within 60 days may need requoting.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"payment-terms\">7. Payment terms<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We require a deposit or full payment before production, as the confirmation states. The balance is due before shipment unless we approve net terms in writing. Past-due amounts may accrue interest at 1.5% per month or the highest lawful rate, whichever is lower, and we may pause production while an invoice is unpaid. Returned payment and collection costs may be charged to you.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"taxes\">8. Taxes<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You are responsible for sales, use, excise, value added, goods and services, harmonized sales, and similar taxes, plus duties and brokerage, other than taxes on our income. We collect tax where we are required to. Send a valid exemption certificate before we invoice.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"title-and-risk\">9. Title and risk of loss<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Title and risk of loss pass to you when we deliver the shipment to the carrier at our Milwaukee facility, or when you collect a will-call order. You file loss or damage claims, though we manage carrier claims for you under our Shipping and Delivery Policy.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"our-intellectual-property\">10. Our intellectual property and your license<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Site, our trademarks, prepress processes, templates, and production methods belong to us or our licensors and may not be copied. Your artwork remains yours. You grant us a limited license to reproduce it solely to produce, ship, and archive your order, and we may keep an archival copy for reorders and claims.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"acceptable-use\">11. Acceptable use<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Your content and your use of the cards must comply with our Acceptable Use Policy, which forms part of these Terms. We may refuse, suspend, or cancel any order that breaches it, refunding amounts paid for unproduced product while retaining amounts for work performed.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"card-systems-and-encoding\">12. Card systems and encoding<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We print and encode to the specifications you provide. Before production, give us the magnetic stripe data and coercivity, or the RFID frequency, chip type, memory format, and data layout, in writing; we test encoded cards against those specifications only. We do not warrant that cards will work with any particular lock, access-control panel, property management system, reader, or point-of-sale terminal, and we are not responsible for a system that rejects cards encoded to your specification. Test a sample before full production.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"limitation-of-liability\">13. Limitation of liability<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Products are warranted to conform to the approved proof, and that warranty, administered under our Refund and Return Policy, is your exclusive remedy. Otherwise the Site and Services are provided &ldquo;as is,&rdquo; and we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Our total liability for any claim will not exceed the amount you paid for the order giving rise to it, and we are not liable for indirect, incidental, special, or consequential damages or for lost profits, data, or business interruption.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"indemnification\">14. Indemnification<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You will defend, indemnify, and hold us harmless from claims, damages, and costs, including reasonable attorneys&rsquo; fees, arising from your artwork or data, your infringement of third-party rights, your program, your breach of these Terms, or your violation of law. We will notify you promptly of any claim and may participate in its defense.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"force-majeure\">15. Force majeure<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Neither party is liable for delay caused by events beyond its reasonable control, including natural disasters, fire, epidemic, war, civil unrest, labor disputes, material shortages, carrier failures, utility outages, and government action. Deadlines extend for the duration, and if an event continues beyond 30 days either party may cancel the affected order, with a refund for unproduced product.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"termination\">16. Termination<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may suspend or terminate Site access and refuse further orders if you breach these Terms, fail to pay, or attempt a prohibited use. Cancellation of a confirmed order is governed by our Refund and Return Policy. Payment, intellectual property, liability, indemnification, and governing law provisions survive termination.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"governing-law\">17. Governing law and venue<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law rules, and the Uniform Commercial Code as enacted in Wisconsin applies to the sale of goods. Disputes must be brought in the state or federal courts located in Milwaukee County, Wisconsin, and both parties consent to that venue.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"severability-and-entire-agreement\">18. Severability and entire agreement<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains in effect. These Terms, the order confirmation, and the approved proof are the entire agreement on their subject. Our failure to enforce a provision is not a waiver, and you may not assign these Terms without our written consent.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"changes-to-these-terms\">19. Changes to these terms<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may revise these Terms by posting a new version on the Site. The version in effect when we confirm your order governs that order.
